2.BUSINESS INTEGRITY, ETHICS & CONFLICT OF INTERESTS:- SKPPL group does not give or receive, whether directly or indirectly, bribes or other improper advantages for business or financial gain. No employee may offer, give or receive any gift or payment which is, or may be construed as being, a bribe. Any demand for, or offer of, a bribe must be rejected immediately and reported to management. SKPPL group accounting records and supporting documents must accurately describe and reflect the nature of the underlying transactions. No undisclosed or unrecorded account, fund or asset will be established or maintained. All employees and others working for SKPPL group are expected to avoid personal activities and financial interests which could conflict with their responsibilities to the company. Employees must not seek gain for themselves or others through misuse of their positions. We will be fair, honest, transparent and ethical in our conduct everything we do must stand the test of public scrutiny.

4.COMPETITION, COMMUNITY INVOLVEMENT& PUBLIC ACTIVITIES:- SKPPL group believes in vigorous yet fair competition and supports the development of appropriate competition laws. SKPPL group companies and employees will conduct their operations in accordance with the principles of fair competition and all applicable national & global regulations. SKPPL group strives to be a trusted corporate citizen and, as an integral part of society, to fulfil our responsibilities to the societies and communities in which we operate. SKPPL group companies are encouraged to promote and defend their legitimate business interests. SKPPL group will co-operate with governments and other organizations, both directly and through bodies such as trade associations, in the development of proposed legislation and other regulations which may affect legitimate business interests. SKPPL group neither supports political parties nor contributes to the funds of groups whose activities are calculated to promote party interests.

5.ENVIRONMENT HEALTH & SAFETY:- SKPPL group is committed to making continuous improvements in the management of our environmental impact and to the longer-term goal of developing a sustainable business. we will work in partnership with others to promote environmental care, increase understanding of environmental issues and disseminate good practice on basis of 3R principle –Reduce-Reuse-Recycle. We are committed to good corporate citizenship, and shall actively assist in the improvement of the quality of life of the people in the communities in which we operate. We engage with the community and other stakeholders to minimize any adverse impact that our business operations may have on the local community and the environment. We encourage our workforce to volunteer on projects that benefit the communities in which we operate, provided the principles of this Code, where applicable, and in particular the ‘Conflicts of Interest’ clause are followed. In the production and sale of our products and services, we strive for environmental sustainability and comply with all applicable laws and regulations. We seek to prevent the wasteful use of natural resources and are committed to improving the environment, particularly with regard to the emission of greenhouse gases, consumption of water and energy, and the management of waste and hazardous materials. We shall endeavour to offset the effect of climate change in our activities. Always operate safely and securely We must be vigilant, disciplined, and always looking out for one another. Each of us is a role model for safety. Do not undertake work that you are not qualified to perform. Stop your own work or others’, if you consider it unsafe. Play your part in protecting the environment – make it a personal foremost priority. Be sure that your performance is not impaired, for example by a lack of sleep, alcohol, or any other drugs. Expect and encourage contractors and others with whom we work with to comply with applicable Health, Safety, Security and Environment requirements. Report any accident, injury, illness, or unsafe condition immediately. Never assume that someone else has reported or will report a risk or concern. Know the emergency procedures that apply where you work.

6.COMPLIANCE MONITORING & REPORTING:- SKPPL group Compliance with these principles is an essential element in our business success. The SKPPL group Board is responsible for ensuring these principles are applied throughout SKPPL group. The Chief Executive Officer is responsible for implementing these principles and is supported in this by the Global Code and Policy Committee which is chaired by the Chief Managing Directors & Board of Directors. Day-to-day responsibility is delegated to all senior management of the geographies, categories, functions and operating companies. They are responsible for implementing these principles, supported by local Code Committees. Assurance of compliance is given and monitored each year. Compliance is subject to review by the Board supported by the Corporate Responsibility Committee and for financial and accounting issues the Audit Committee. Any breaches of the Code must be reported. The Board of SKPPL group will not criticise management for any loss of business resulting from adherence to these principles and other mandatory policies. Provision has been made for employees to be able to report in confidence and no employee will suffer as a consequence of doing so.
